VYAPARSE – TERMS AND CONDITIONS

Welcome to Vyaparse. These Terms and Conditions ("Terms") govern your access to and use of the Vyaparse platform ("Platform", "We", "Us", "Our"), which operates as an industrial B2B marketplace connecting buyers and sellers.

By accessing or using Vyaparse, you agree to be bound by these Terms.

1. DEFINITIONS

• Platform: Vyaparse website and services

• User: Any person or business using the platform

• Seller: A registered business listing products/services

• Buyer: A user purchasing or requesting products

2. ELIGIBILITY

• Users must be legally capable of entering into binding contracts

• Businesses must provide valid registration and compliance documents

• Vyaparse reserves the right to approve or reject registrations

3. ACCOUNT REGISTRATION

• Users must provide accurate and complete information

• Account credentials must be kept confidential

• Users are responsible for all activities under their account

4. PLATFORM ROLE

• Vyaparse acts as a facilitator connecting buyers and sellers

• Vyaparse does not manufacture, store, or directly sell products

• Transactions are primarily between buyer and seller

5. PRODUCT LISTINGS

• Sellers are responsible for accuracy of product details

• Listings must comply with applicable laws and standards

• Vyaparse may remove or modify listings at its discretion

6. PRICING & PAYMENTS

• Prices may be fixed or negotiated (RFQ model)

• Payment terms may include advance, credit, or milestone payments

• Vyaparse may facilitate payments but is not liable for defaults

7. ORDER PROCESS & CONTRACT

• Orders become binding once accepted by both parties

• Buyers and sellers must honor agreed terms

• Cancellation or withdrawal is subject to platform policies

8. SHIPPING & DELIVERY

• Sellers are responsible for packaging and dispatch

• Delivery terms must be clearly defined (EXW, FOB, CIF, etc.)

• Risk transfer depends on agreed shipping terms

9. RETURNS & REFUNDS

• Returns are limited to valid cases (defect, damage, mismatch)

• Refunds are subject to approval and policy guidelines

• Customized orders are generally non-returnable

10. INTELLECTUAL PROPERTY

• All platform content belongs to Vyaparse or its licensors

• Users may not copy, reproduce, or misuse content without permission

11. USER CONDUCT

Users agree not to:

• Engage in fraudulent or illegal activities

• Misrepresent products or services

• Bypass the platform for direct transactions

• Misuse platform data or systems

12. ACCOUNT SUSPENSION & TERMINATION

Vyaparse may suspend or terminate accounts for:

• Policy violations

• Fraudulent behavior

• Legal non-compliance

13. LIMITATION OF LIABILITY

• Vyaparse is not liable for:

  • Product quality issues

  • Delivery failures

  • Disputes between buyers and sellers

• Liability is limited to platform fees collected.

14. INDEMNIFICATION

Users agree to indemnify Vyaparse against:

• Legal claims

• Damages arising from misuse

• Breach of these Terms

15. CONFIDENTIALITY

• Users must protect sensitive business and transaction data

• Unauthorized sharing is prohibited

16. FORCE MAJEURE

Vyaparse is not liable for delays or failures caused by:

• Natural disasters

• Government actions

• Unforeseen events

17. DISPUTE RESOLUTION

• Parties should first attempt mutual resolution

• Vyaparse may provide mediation

• Unresolved disputes may proceed to legal action

18. GOVERNING LAW

These Terms are governed by the laws of India.
